Courtesy translation. The legal version is the French one (Conditions générales d'utilisation et de vente); in case of any discrepancy, the French version prevails.
These general terms of use and sale (the “Terms”) form a contract between you (the “User”, “you”) and the operator of Margin Showdown (the “Operator”, “we”), governing access to and use of the game available at marginshowdown.com and, where applicable, its mobile versions (together, the “Game” or the “Service”). By creating an account, playing or making a purchase, you acknowledge that you have read, understood and accepted these Terms and our Privacy Policy. If you do not agree, you must not use the Game.
1.1 “Account”: the personal space created by the User after confirming their email address. “Guest”: a visitor who plays without an Account.
1.2 “Virtual Currencies”: the ⟁ (“Delta”) and the α (“Alpha”), in-game units described in Article 8.
1.3 “Match”: a game session at a three-seat table, made up of one or more hands, which ends when only one seat remains in play. “Stake”: the amount of ⟁ committed upon entering a Match. “Bot”: an automated player described in Article 6.
1.4 “Paid Items”: the objects, advantages and accesses that can be obtained with Virtual Currencies, described in Article 9.
2.1 Margin Showdown is operated by [Legal name of the operator — Québec corporation being registered, to be completed], [Québec enterprise number (NEQ) and registered address — to be completed], with its main place of business in the province of Québec, Canada.
2.2 This section will be updated as soon as the legal entity has been registered.
3.1 The Game includes a mechanic of staking Virtual Currency on poker-style hands, part of which Virtual Currency can be acquired with real money. It is reserved for people aged 18 or over.
3.2 By creating an Account, you declare that you are 18 or over and have the legal capacity to enter into this contract in your jurisdiction. We keep the date of this confirmation and of your acceptance of the Terms. We may request additional verification and close any Account held by a minor.
3.3 It is your responsibility to make sure that accessing and using the Game is lawful where you are.
4.1 Creation. To create an Account, you provide an email address, a username and a password, and you confirm that you are 18 or over and accept the Terms. You must then confirm your email address by clicking the link sent to you (valid for 24 hours). Until this confirmation is done, no Account is created and you can keep playing as a Guest; if the link is not opened in time, your registration is deleted.
4.2 Security. You are responsible for keeping your password confidential and for all activity carried out from your Account, and you undertake to notify us without delay of any unauthorized use.
4.3 One Account only. Only one Account per person is allowed. Creating multiple Accounts to circumvent limits, rewards or queues is prohibited.
4.4 Username. The username must not be misleading, offensive or impersonate a third party. We may change or remove it if it breaches the Terms. Changing your username may be subject to free-of-charge or price conditions displayed in the Game.
4.5 Guest mode. A Guest has a temporary ⟁ balance, kept through a technical identifier stored in their browser. This identifier is not proof of ownership: a Guest's balance may be lost (clearing browser data, changing device) and is neither recoverable nor transferable. Some features (purchases, shop, saved progress) are reserved for Accounts.
4.6 Deletion. You can delete your Account at any time from “My account → Deletion”. Deletion is final: the Virtual Currencies, items and progress associated with it are lost without refund, subject to your mandatory rights.
5.1 Principle. Margin Showdown is a three-seat game combining poker mechanics and chart reading. On each hand, players see the evolution of a simulated price chart (Article 7), take a position (up or down) and commit table chips to a pot according to staking rules specific to the Game. The result of each hand is calculated by our servers.
5.2 Stake and flow. When you enter a Match, the Stake you chose from the tiers offered is debited from your ⟁ balance. Each seat receives an equal number of table chips, which have no value outside the Match. A seat is eliminated when it has no chips left. The highest Stake tiers (“High Roller”) are reserved for holders of the Market Maker Pass Premium. Unless the Match is cancelled before it starts, the Stake is not refunded if you are eliminated or leave the Match.
5.3 Payout. At the start of each Match, the server randomly draws a multiplier. When you are the last seat in play, you receive in ⟁ your Stake multiplied by this multiplier; nothing is paid on elimination. This draw does not depend on the player, their actions or their stakes. The probability of each multiplier is as follows:
5.4 Payouts in Virtual Currency only. The Game does not pay out any winnings in real money or any prize of real value. All payouts are expressed in Virtual Currency, usable only within the Game.
5.5 Time limits, disconnections and inactivity. Each decision must be made within a limited time, which certain Paid Items may extend. If you do not act in time or your connection is interrupted, an automatic decision may be made on your behalf so as not to block the table; reconnecting quickly generally lets you take your seat back. We do not guarantee the continuity of a Match in the event of a network, device or service problem.
5.6 Results. Results calculated by our servers, including those determined by technical interruptions, are authoritative. In the event of a manifest error (bug, calculation fault), we may correct or cancel a result and adjust the balances concerned.
6.1 You may play against automated players (“bots”) rather than against other people. If no other human player joins a table within the intended waiting time, one or more remaining seats are filled by a bot so that the Match can start without undue delay. A table may be made up of bots for all seats other than yours. We do not guarantee that you will face other people in any given Match.
6.2 A bot:
6.3 The result of a hand (distribution of the pot, payouts) is determined in exactly the same way whether a seat is held by a human or by a bot.
7.1 Simulated markets. The Game's markets (stocks, indices, cryptocurrencies, currency pairs, commodities) are entirely simulated. The charts are generated by an algorithm that reproduces the typical behavior of real markets (trends, calm or agitated periods, opening gaps, sudden shocks), but they use no real market data. The assets carry fictitious names and do not correspond to any real company, index, currency or instrument; any resemblance to a real price is coincidental. The dates, prices and price levels displayed have no market-information value and must not be used as a basis for an investment decision.
7.2 No financial advice. Margin Showdown is not a financial service. Nothing in the Game (charts, indicators, news, results, rankings, positions or strategies of other players or bots) constitutes an investment or trading recommendation or financial, tax or legal advice. The Game is a simulation for entertainment purposes; results obtained in the Game do not predict any result on real financial markets.
7.3 Changes to the data. We may in the future use licensed real market data. If so, these Terms and the notices displayed in the Game will be updated before any change, and Paid Items already acquired will not be affected.
8.1 The ⟁ (Delta) and the α (Alpha) are virtual units internal to the Game, with no real monetary value. The ⟁ is used in particular for Stakes and certain purchases in the Game; the α is used for certain Paid Items.
8.2 They are neither convertible into real money, nor exchangeable, nor refundable, whether for money, goods or services, outside their use within the Game. They are not property, a claim or a means of payment.
8.3 Acquiring Virtual Currency with real money (when this feature is active) grants a personal, non-exclusive, non-transferable and revocable licence to use that Currency in the Game, and not a right of ownership over it.
8.4 We may adjust the Game's economic balance (prices, rewards, rates, offers) at any time. Balances already held are never reduced retroactively by such an adjustment.
9.1 Virtual Currencies may be spent to obtain, within the Game: cosmetic items (avatars, frames, titles, victory effects); chart analysis indicators, purchased per use; streak shields (which allow a winning streak to be saved only once per streak); free-match tickets; additional decision time reserves (“time bank”); username changes; and the Market Maker Pass Premium.
9.2 Gameplay advantages. Certain Paid Items (indicators, time bank, streak shields) provide a limited gameplay advantage; the Market Maker Pass Premium also gives access to the highest Stake tiers and to additional rewards. These advantages are described in the Game before any purchase; they offer no guarantee of winning, the result depending in particular on chance (Article 5.3) and on the decisions of the other seats.
9.3 Prices and offers. The prices and content of Paid Items are displayed in the Game before purchase and may change. Limited-time offers state their duration; a discount is measured against the usual price displayed in the Game.
10.1 Certain purchases of Virtual Currency may be made with real money when this feature is active. They are processed by a third-party payment provider (app store or external payment processor); we neither receive nor store your bank card information.
10.2 Prices and taxes. The price is the one displayed at the time of the order, in the currency indicated. Applicable taxes (including GST/QST or VAT) are calculated according to your place of residence and displayed before payment. An invoice or receipt is sent to you by the payment provider or by us.
10.3 Delivery. Virtual Currency is credited to your Account immediately after payment is confirmed. A purchase requires an Account whose email address has been confirmed.
10.4 No refunds. Unless required by law, purchases of Virtual Currency are final and non-refundable once the Currency has been credited, since this is digital content supplied immediately. This rule does not limit the rights that the law grants you, including in the event of a billing error, an unauthorized payment or a defect in the Service.
10.5 Disputes. If you have a problem with a purchase, write to us first (Article 23): we will seek a solution within a reasonable time. An unauthorized or fraudulent payment (including by a minor) may be reported to your payment provider. We may suspend access to an Account linked to an abusive or fraudulent payment dispute.
10.6 Responsible use. The Game is an entertainment activity. Only spend what you can afford; if you feel your use is becoming problematic, you may ask us to close your Account or limit its features.
11.1 The Game may offer rewards in Virtual Currency or Paid Items: daily login bonus, daily and weekly challenges, Market Maker Pass tiers, welcome gift and promotional offers. Their conditions are displayed in the Game and may be changed or withdrawn.
11.2 Referral. A User may invite a person using their referral link. A reward is credited to each of the two Accounts when the invited person has confirmed their email and played the required number of Matches (currently 5). Referring yourself, through multiple Accounts or by misleading means, is prohibited and results in the cancellation of the rewards.
11.3 Rewards have no monetary value, are not transferable and may be withdrawn in case of abuse.
12.1 Certain game information is visible to other users and visitors: your username, your avatar and equipped cosmetics, your level and, when you win a Match with an Account, your username, your Stake, the multiplier and your payout in the “Latest winners” list on the home screen, as well as your position in the rankings.
12.2 These entries reflect real matches only; they are deleted with your Account. Choose a username that does not reveal personal information.
13.1 The following are strictly prohibited:
13.2 Sanctions. A breach may result, at our discretion and depending on its seriousness, in a warning, the withdrawal of winnings or items obtained irregularly, a temporary suspension or permanent closure of the Account. A suspension is decided by our team; we record its date, duration and reason, and you may request a review by writing to us (Article 23).
14.1 The Game, its code, its design, its simulated markets and their fictitious names, its texts, images and animations remain the exclusive property of the Operator or its licensors (excluding third-party items used under licence, such as certain fonts and the charting library).
14.2 We grant you a personal, non-exclusive, non-transferable and revocable licence to use the Game in accordance with the Terms. Any reproduction, data extraction, reverse engineering, redistribution or creation of a derivative work without prior written authorization is prohibited.
14.3 The fictitious names of the simulated assets do not designate any real company and are not associated with any third-party trademark.
15.1 You are responsible for the content you provide (username, reviews, messages). You warrant that it is lawful, does not infringe third-party rights and complies with Article 13.
15.2 You grant us a non-exclusive, royalty-free licence, for the duration of your Account, to display this content in the Game (for example your username in the rankings) and, for reviews, to use it to improve the Service. We may moderate or remove it.
16.1 The processing of your personal information is described in our Privacy Policy, which forms an integral part of the Terms.
17.1 We make reasonable efforts to keep the Service available, without guaranteeing uninterrupted or error-free operation. Interruptions (maintenance, updates, technical incidents) may occur.
17.2 We may change, add or remove features, markets, Paid Items, rewards or Stake tiers, and end all or part of the Service. If we end the Service as a whole, we will notify Users with reasonable notice; the rights that the law grants you remain reserved.
18.1 To the extent permitted by law, the Game is provided “as is” and “as available”, without warranty of any kind, express or implied, including as to the absence of errors, fitness for a particular purpose or availability of the Service.
18.2 To the extent permitted by applicable law, the Operator shall not be liable for any indirect, incidental, special or consequential damage related to the use of the Game, including loss of Virtual Currency, progress or access to the Account, and its total liability to you shall be limited to the sums you paid in real money during the twelve months preceding the event giving rise to the claim.
18.3 Nothing in the Terms excludes or limits a liability that cannot be excluded or limited under the law, nor the rights that the law recognizes for you as a consumer, including in cases of gross or intentional fault or bodily injury.
19.1 You may stop using the Game and delete your Account at any time (Article 4.6).
19.2 We may suspend or terminate your access, with or without notice depending on seriousness, in the event of a breach of the Terms, abusive use, fraud, a legal obligation or a risk to the security of the Service. The articles which by their nature must survive termination (intellectual property, liability, governing law) continue to apply.
20.1 We may change the Terms. The date and version number at the top of the page indicate the latest revision. For any important change, we will notify you in the Game or by email, within a reasonable time before it takes effect.
20.2 If you do not agree with the amended Terms, you may delete your Account before they take effect. Continuing to use the Game after that date constitutes acceptance.
21.1 Language. The Terms are drafted in French, which prevails. Any translation is provided for information only.
21.2 Governing law. The Terms are governed by the laws of the province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
21.3 Jurisdiction. Any dispute arising from the Terms or from use of the Game will be submitted to the exclusive jurisdiction of the competent courts of the province of Québec, without prejudice to the mandatory rights you may have under the laws of your own jurisdiction, in particular as regards consumer protection.
22.1 Entire agreement. The Terms and the Privacy Policy constitute the entire agreement between you and the Operator regarding the Game.
22.2 Severability. If a provision is found invalid or unenforceable, the other provisions remain in force.
22.3 No waiver. Failure to exercise a right does not amount to a waiver of that right.
22.4 Assignment. You may not assign your rights or obligations without our written consent; we may assign ours to an entity taking over the Service, without reducing your rights.
22.5 Force majeure. We are not liable for a delay or failure caused by an event beyond our reasonable control (network or provider outage, cyberattack, act of God, decision of an authority).
